Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Y Marine OS ("Company," "we," "us," or "our"), concerning your access to and use of the Y Marine OS platform.

Pending legal configuration: The legal entity name, registered address, and jurisdiction must be confirmed by qualified counsel before commercial launch.

2. Definitions

• Platform means the Y Marine OS software platform and all related services.
• Organization means the legal entity that subscribes to the Platform.
• Authorized User means an individual invited by an Organization to access the Platform.
• Licensed Yacht means a vessel added to an Organization's subscription.
• Entitlement means the set of capabilities granted by an Organization's subscription plan.

3. Eligibility

You must be at least 18 years of age and authorized to bind your Organization to these Terms. By accessing the Platform, you represent and warrant that you meet these requirements.

4. Subscriptions and Entitlements

Access to Platform capabilities is governed by the subscription plan selected by your Organization. Entitlements are checked server-side before each protected action. If an entitlement is not active, the corresponding capability is unavailable — this is not an authorization failure but a plan restriction.

4.1 Per-Yacht Licensing

Subscriptions are priced per licensed yacht, per month. You may add or remove yachts from your subscription at any time, subject to your plan's yacht limit.

4.2 Trials

Trial subscriptions provide limited-time access to certain plans. Trial expiration results in entitlement suspension unless the subscription is converted to a paid plan.

5. Acceptable Use

You agree not to misuse the Platform, including but not limited to: attempting unauthorized access, exceeding entitlement limits, processing data outside the scope of yacht management, or violating applicable law. See our Acceptable Use Policy for details.

6. Role-Based Access

You are responsible for managing user invitations, role assignments, and yacht assignments within your Organization. The Platform enforces role-based access control, but Organization administrators are responsible for assigning appropriate roles and reviewing access periodically.

7. Data and Privacy

Your use of the Platform is governed by our Privacy Policy and, where applicable, our Data Processing Agreement. You retain ownership of your data. We process data only as necessary to provide the Platform.

8. AI Features

The Platform includes AI-assisted features. AI does not replace human judgment, manufacturer authority, or professional maintenance verification. See our AI Policy for details on how AI is used and its limitations.

9. Integrations and Extensions

The Platform may connect to external systems (e.g., Xperio3D) through signed integrations. You are responsible for authorizing such connections. The Platform enforces fail-closed behavior for all unknown credentials, capabilities, and entitlements.

10. Resellers

If your subscription is managed by an authorized reseller, the reseller's commercial terms apply alongside these Terms. See our Reseller Terms for reseller-specific conditions.

11. Termination

You may cancel your subscription at any time. Cancellation is non-destructive — your data is retained but entitlements are suspended. We reserve the right to suspend or terminate access for violations of these Terms.

12. Disclaimers

The Platform is provided "as is." We do not warrant that the Platform will be error-free, uninterrupted, or fit for a particular purpose. Maintenance information derived from AI or research is not manufacturer-authoritative.

13. Limitation of Liability

To the maximum extent permitted by law, Y Marine OS shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform. Continued use after changes constitutes acceptance.
