Reseller Terms

This is a structural legal template. Professional legal review is required before commercial launch. Jurisdiction-specific details, legal entity information, and registered addresses must be confirmed by qualified counsel.

These Reseller Terms apply to authorized Y Marine OS Extension Resellers. They supplement the Terms of Service and the Reseller Agreement.

1. Reseller Authorization

Resellers must be authorized by Y Marine OS through a Reseller Agreement. Authorization is revocable for violation of these Terms or the Reseller Agreement.

2. Reseller Obligations

  • Introduce Y Marine OS to potential customers in a professional manner.
  • Provision and manage customer accounts within the Platform's reseller framework.
  • Maintain accurate customer and subscription records.
  • Respect the data boundary — resellers do not access operational customer data without explicit temporary support grants.
  • Comply with all applicable laws and regulations.

3. Commission

Resellers earn recurring commission on active customer subscriptions according to the Reseller Agreement. Commission is calculated based on the commission rules configured for the reseller. Commission percentages are not publicly disclosed unless configured for publication.

4. Data Boundary

Resellers have access to commercial information only — customers, provisioning status, subscription status, and commission data. Resellers do not automatically receive access to operational data: guest profiles, crew PII, APA details, maintenance records, or owner private information.

Temporary operational access requires an explicit customer support grant with a defined scope, reason, and expiration. Every support access event is audited.

5. Customer Ownership

Customers introduced by a reseller remain customers of Y Marine OS. The reseller relationship is commercial — it does not transfer data ownership or operational control.

6. Termination

Reseller authorization may be terminated for violation of these Terms or the Reseller Agreement. Upon termination, commission on new subscriptions ceases. Existing commission on active subscriptions may continue subject to the Reseller Agreement.
